1. Agreement to These Terms
These Terms of Service ("Terms") govern your use of the website at minotaurmarketing.ai (the "Site") and the marketing automation services offered by Minotaur AI Performance Marketing LLC ("Minotaur AI," "we," "us," or "our") (together, the "Services"). By using the Site, submitting a form, or purchasing a package, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of a business, you represent that you have authority to bind that business.
2. The Services
Minotaur AI provides AI-powered lead capture, follow-up, voice answering, appointment booking, CRM configuration, and related marketing automation services for local businesses. Specific features depend on the package you purchase. We may improve, modify, or discontinue features over time; if we materially reduce the functionality of a package you've paid for, you may cancel without penalty.
3. Trials, Billing, and Cancellation
- Free trial. Packages include a 14-day free trial unless stated otherwise. If you don't cancel before the trial ends, the recurring subscription fee for your chosen package begins.
- Setup fees. One-time setup fees are charged at the start of an engagement and are non-refundable once setup work has begun.
- Subscriptions. Monthly packages renew automatically each month; annual packages renew annually. Fees are billed in advance to your payment method on file.
- Cancellation. There are no long-term contracts. You may cancel anytime by emailing hello@minotaurmarketing.ai; cancellation takes effect at the end of the current billing period, and prepaid fees for that period are non-refundable.
- Third-party costs. Usage-based third-party costs (such as telecom carrier fees, phone numbers, or call volumes beyond your package allowance) may be billed as described in your order or proposal.
- Price changes. We may change pricing with at least 30 days' notice; changes apply at your next renewal.
4. Your Responsibilities
- Provide accurate information and keep your account and contact details current.
- Use the Services only for lawful business purposes, and comply with all laws applicable to your own marketing — including the TCPA, CAN-SPAM, and any consent requirements for contacting your customers and leads.
- Obtain any consents required from your own customers for communications (calls, texts, emails) sent on your behalf through the Services, and honor opt-out requests promptly.
- Do not misuse the Services: no unlawful, deceptive, or harassing communications; no interference with the Services' operation; no attempts to access systems or data without authorization.
We may suspend or terminate Services for violation of these Terms, including misuse that puts our carrier relationships or other customers at risk.
5. SMS Program Terms
When you opt in to receive text messages from Minotaur AI Performance Marketing LLC (for example, by submitting our demo form and checking the consent box), you agree to receive marketing and informational SMS messages at the number provided. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply.
Reply STOP to cancel at any time. Reply HELP for help, or contact hello@minotaurmarketing.ai. Carriers are not liable for delayed or undelivered messages.

6. Intellectual Property
The Site, our brand, and the systems, software, templates, prompts, and configurations we build and operate remain the property of Minotaur AI or our licensors. You receive a limited, non-exclusive, non-transferable right to use the Services for your business during your subscription. Content and data you provide remains yours; you grant us a license to use it as needed to deliver the Services. White-label and agency rights, where purchased, are defined in your order or separate agreement.
7. Results Disclaimer
Marketing outcomes depend on many factors outside our control — your market, offer, pricing, follow-through, and seasonality among them. Statistics, examples, and case figures on the Site are illustrative. We do not guarantee any particular volume of leads, bookings, or revenue.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED RESPONSES WILL BE ACCURATE IN EVERY INSTANCE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MINOTAUR AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
10. Indemnification
You agree to indemnify and hold Minotaur AI harmless from claims arising out of your use of the Services in violation of these Terms or applicable law, including claims arising from communications sent to your customers or leads without required consent.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Stanislaus County, California, and you consent to their jurisdiction. Before filing any claim, you agree to contact us first at hello@minotaurmarketing.ai so we can try to resolve it informally.
12. Changes to These Terms
We may update these Terms from time to time. The "Effective date" above reflects the latest revision. Material changes will be posted on this page, and continued use of the Services after changes take effect constitutes acceptance.
